UNIFIEDAUDIT QM ESSENTIALS — LICENSE AND TERMS OF USE

1. LICENSE. UnifiedAudit LLC grants you a non-exclusive, non-transferable
license to install and use UnifiedAudit QM Essentials ("the Software") for
your organization's internal business purposes, free of charge. You may not
redistribute, sell, rent, sublicense, reverse engineer, or create derivative
works of the Software, except to the extent applicable law permits despite
this limitation.

2. YOUR DATA. Everything you enter is stored locally on your computer in a
single database file. UnifiedAudit LLC has no access to it, receives no
telemetry, and keeps no copies. Your data is yours; safeguarding and backing
it up is your responsibility (see Settings > Your data inside the Software).

3. NOT PROFESSIONAL ADVICE. The Software is a documentation tool. It does not
constitute auditing, accounting, or legal advice, and using it does not by
itself make your organization compliant with Government Auditing Standards
(GAGAS), peer-review requirements, or any other standard, law, or regulation.
You are solely responsible for the professional judgments you record and for
verifying your organization's conformance with applicable standards.

4. NO WARRANTY. THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT
WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY,
AND NON-INFRINGEMENT. UNIFIEDAUDIT LLC DOES NOT WARRANT THAT THE SOFTWARE IS
ERROR-FREE OR THAT IT WILL OPERATE WITHOUT INTERRUPTION OR DATA LOSS.

5. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW,
UNIFIEDAUDIT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR
BUSINESS, ARISING OUT OF OR RELATING TO THE SOFTWARE, EVEN IF ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. UNIFIEDAUDIT LLC'S TOTAL LIABILITY SHALL NOT
EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

6. THIRD-PARTY COMPONENTS. The Software includes open-source components
licensed under their own terms (including MIT and Apache-2.0 licenses).

7. TERMINATION. This license ends automatically if you breach it; on
termination you must uninstall the Software. Sections 2 through 6 survive
termination. Uninstalling does not delete your data unless you choose to
remove it during uninstall.

8. GENERAL. This agreement is governed by the laws of the State of Colorado,
USA, excluding its conflict-of-law rules. If any provision is found
unenforceable, the remainder stays in effect. This is the entire agreement
between you and UnifiedAudit LLC regarding the Software.
